CORPORATE GOVERNANCE

As a Ghanaian indigenous company with a vision of providing excellent service in Africa, strong corporate governance is a major focus of the company. In addition to strong governance, the Board is focused on business development strategies and effective risk management. The Board is accountable to the shareholders for sustainable business development and excellent performance which results in increased shareholder value in the long-term. It meets these aims by reviewing and approving the strategy and corporate processes and procedures proposed by Management, as well as ensuring that adequate resources are in place to achieve strategic aims and objectives. It determines the Company’s major policies and reviews its management and financial performance.

BOARD COMPOSITION

The Board currently comprises a Chairman, the Managing Director and three other Executive Directors. Together, they bring over 60 years of a broad range of engineering, business, commercial, legal and other relevant experience. The Board are of the view that they represent the right balance of skills, experience, independence and diversity of background needed to meet the shareholders’ expectation.
